BY-LAWS OF THE CURRY COUNTY
REPUBLICAN CENTRAL COMMITTEE As
amended February 17, 2009 ARTICLE
I - GENERAL These
bylaws shall become effective upon their adoption and shall be used to govern
the Curry County Republican Central Committee until amended or repealed. A.
Name: The name of this organization shall be the Curry County Republican
Central Committee (here after referred to as... the Central Committee). B.
Purpose: The purpose of the Central Committee: 1.
To elect Republicans who promote the platform of the Oregon Republican
party and the Central Committee, to public office. 2.
To insure growth of the Republican Party, through voter registration and
volunteer force, to make the Central Committee the number one national party in
Curry County. 3.
To lead, contribute and participate in the establishment of a Republican
Party organization that is an effective vehicle for setting public policy
through its platform. 4.
To plan, organize, administer and finance the Central Committee's
operations to accomplish the above stated purpose. ARTICLE
II- MEMBERSHIP A.
The Central Committee shall consist of all duly elected or appointed
Republican Precinct Committeepersons. In order to provide an equitable manner in
which to select members of the Central Committee, the Central Committee intends
to participate in elections for Precinct Committeepersons as provided in ORS
24R.015 to 248.029, as amended. B.
All duly nominated Republican candidates for county, State or Federal
office residing within the county, the chairperson of the Young Republicans and
Republican Women's Club, and the immediate past Central Committee Chairman shall
be ex-officio members of the Central Committee with the right to enter into
discussion, but with no voting privilege. C.
Vacancies in the office of Precinct Committeeperson (PCP) shall be filled
by appointment of the Central Committee. Candidates shall demonstrate the intent
to serve by a signed, formal
application or a statement of willingness to serve. D.
The Central Committee
elected officers and members shall recruit, train and provide ongoing
support of the PCP’s. ARTICLE
III – TERM OF OFFICE A.
The term of office for all officers and alternate Delegates of the
Central Committee shall be from the biennial reorganization meeting until the
next regular biennial reorganization meeting. PCP’s shall serve from the date of the certification by the
County Clerk of their election during the May Primary in even years until the
certification of the next election. Appointed PCPs shall serve from date of
their acceptance until the next election. Article
IV - Meetings A.
The regular biennial organizational meeting shall be held no earlier than
date of the General Election and no later than the 25th of November
of even numbered years, as prescribed by Slate Control Committee Bylaws;
(Article XV Section D). The purpose of this meeting is the election of Central
Committee officers and to establish Bylaws for the biennium. 1.
Notice of such meeting must be mailed, no later than ten (10) days prior
to the date of the meeting by the Secretary, to all certified Republican
Precinct Committeepersons elected during the primary election of that year or
appointed pursuant county rule. The Secretary shall include a copy of the
proposed By-law amendment.
Notice will be sent by first class mail, unless a member has indicated an email
address or fax number where notice will be accepted,
in which
case notice will be sent via email or fax. 2.
A copy of the notice must also be sent to the ORP State Central Committee
no later than ten (10) days prior to the date of the meeting. 3.
A person appointed to fill a vacancy in the office of precinct
Committeeperson may not vote on the election of Central Committee officers at
the organizational meeting of the newly elected Committee, but may vote to fill
any vacancy in a Committee office after the organizational meeting. 4.
Within five (5) business 5 days of the county organizational meeting, the
newly elected chairman of the Central Committee shall cause notice to be
provided, in writing, of the names of each county officer and the names of each
delegate and alternate delegate to the State Central Committee. A copy of all
county Bylaws and rules shall also be sent to the State Central Committee. 5.
Within five (5) business days of election, the newly elected Chairman
shall cause a notice to be provided to the county clerk's office designating the
newly elected county Chairman as the official authorized to communicate with and
receive notice from the County Clerk on behalf of the Party’s affiliate within
the county. 6.
Within five (5) business days of the election, or within 5 business days
of the final C&E due date, whichever is later, the newly elected Chairman
shall cause all appropriate forms to be filed with the Secretary of Sta1e's
office which will provide adequate notice to that office of the change in party
leadership and which will officially transfer responsibility for contribution
and expense reporting to the new officers. B.
The Chairman shall call Central Committee meetings at such times as
appears advisable to further objectives of the Repu8blican Party in Curry
County.

Central
Committee
or Executive Committee meetings
will be conducted in person at a designated place and time, on a conference call
at a designated conference
call-in
number and time,
by teleconferance, or a combination of in
person and
conference call and/or
teleconference
with a designated place,
conference
call-in number and time, at the
Chairmans discression. If any members attend by conference
call or
teleconference,
then all votes will be conducted by roll call. Conference call or teleconference
may not be used at the Biennial
Organization
Meeting
or at any
meeting where election of officers is conducted.
C.
A petitioned meeting shall be called by the Secretary when requested by
fifty one percent (51%) of the membership. D.
No business shall be transacted at any meeting until a quorum is present.
Failure to give required ten (10) days notice of the meeting to all Precinct
Committeepersons shall invalidate the business the meeting. The date of the
mailing shall determine compliance with notice requirements under these bylaws. ARTICLE
V – QUORUM A
quorum shall consist of the members present who are duly elected or appointed
precinct Committeepersons, at least three of whom must be duly elected officers
of the Central Committee. ARTCLE
VI – OFFICERS A.
Numbers: There shall be eight (8) elected officers of the Central
Committee; a Chairman, a Vice Chairman, a Secretary, a Treasure, a Delegate
to the State B.
Qualifications: Any registered Republican living in Curry County shall be
eligible to hold to hold office. C.
Elections: In the elections of Officers, only those committee persons
duly elected and qualified may vote. D.
Term of Office: The term of office for the elected Officers of the
Central Committee shall be from the time of their election until the next
biennial organizational meeting. E.
Recall: Any or all of the elected officers of the Central Committee may
be recalled by a majority
vote of the quorum present at any duly called meeting, provided that a petition
signed by more than one half of the Precinct Committee persons shall have been
filed with the Secretary at
least fourteen (14) days prior to the meeting. F.
Vacancies in Office: If the office of Chairman shall become vacant, the
Vice-Chairman shall become the Chairman for the remainder of the term. If any
other office shall become vacant or remain vacant after an election meeting, it
shall be the duty of the Chairman to select a temporary officer to perform the
duties of the office until a successor is duly elected. G.
Declaring an Office Vacant: An Office may be declared vacant by the
Chairman if a duly elected officer moves from the county or is absent for four
(4) consecutive meetings. ARTICLE
VII – THE EXECUTIVE COMMITEE A.
Membership:
The Executive Committee shall consist of the eight (8) duly elected officers of
the Central Committee. The Chairman of
the Central Committee shall be the Chairman of the Executive Committee.
The immediate past Central Committee Chairman shall be an ex-officio member of
the Executive Committee. B.
Quorum:
A quorum shall consist of those members present and voting at any duly called
meeting. C.
Powers
and Duties of the Executive Committee: Subject to the Central Committee, the
Executive Committee shall carry on the business of the Central Committee and shall possess and may exercise all
of tile powers of the Central Committee, except those reserved specifically to
the Central Committee by statute, by these Bylaws, or by Central Committee
action. ARTICLE
VIII - POWERS AND DUTIES 0F THE COUNTY CHAIRMAN In
addition to performing the duties outlined in other articles of
these
Bylaws and
the usual duties of any organization president, the County Chairman shall: A.
Subject to the control
of the Central Committee and the
Executive Committee, the Chairman shall have general charge of
the affairs
of the Republican Party, carry out the business and appoint committees, and
manage the campaigns of the Central Committee during the election years. B.
Call meetings prescribed by
the Bylaws. C.
Supervise and direct all employees of the Central Committee. D.
Appoint a legal advisor who shall serve without pay, except that he may
be reimbursed for actual expenses incurred. E.
Make a report to tile Central Committee at each meeting. This report
shall include a summary of the Chairman's activities and the activity of the
Executive Committee during the interval between meetings of the Central
Committee. F.
Represent,
along with the Vice-Chairman and Delegate, the Central Committee at
the State Central
Committee meetings. If he/she is unable to attend a meeting of the ORP State
Central Committee, elected alternate(s) from the county central committee may
attend the meeting. In the absence of both,
a proxy may be seated as provided in Article V, Section A of
tile State Central Committee Bylaws. ARTICLE
IX - POWERS AND DUTIES OF THE VICE-CHAIRMAN A.
The Vice-Chairman shall have
such powers and perform such duties as may be assigned from time to time by the
Chairman, the Central Committee and the Executive Committee. B.
Shall,
along with the Chairman and Delegate, represent the Central Committee at the
State Central Committee meetings. If he/she is unable to attend a meeting of the
State Central Committee, elected alternate(s) from the county central committee
may attend the meeting. In the absence of both, a proxy may be seated, as
provided in Article V, Section A of the Stale Central Committee Bylaws. C.
If
the Chairman is temporarily unable to perform the duties of office, or if the
Chairman resigns or for any other reason cannot perform the duties of his/her
office, the Vice-Chairman shall perform all the duties of the Chairman. In the
event the office of the Chairman is vacant, the Vice-Chairman shall serve as
Chairman for the remainder of the term. ARTICLE
X - POWERS AND DUTIES OF THE SECRETARY A.
The Secretary shall be
responsible for keeping the minutes of all meetings of the Central Committee and
the Executive Committee in a book provided for that purpose. B.
The
Secretary shall be responsible for mailing all notices of meeting of the Central
Committee and the Executive Meeting when notified by the Chairman. C.
An up-to-date listing of all Central Committee Officers and Precinct
Committeepersons shall be maintained by the
Secretary. D.
The
Secretary shall obtain, immediately after the Primary Election, a listing of the
newly elected Precinct Committeepersons. The Secretary will provide a copy of
this list to the Chairman and the State Headquarters. ARTICLE
XI - POWERS.AND DUTIES OF THE TREASURER The
Treasurer shall: A.
Act
as the fiscal agent of the Central Committee for the receipt and disbursement of
all funds. B.
Keep
a complete account of all receipts and disbursements. C.
Make
a financial report at each Central Committee meeting. D.
Prepare
financial statements to be presented
to the Secretary of State showing
all receipts and disbursement and any
other reports as required by law. E.
Ensure
compliance with all local, state and federal laws relating to the financial
affairs of the Central Committee. ARTICLE
XII - DISBURSEMENT OF FUNDS All
checks for checking accounts and withdrawal slips for savings accounts shall be
signed by two of the three persons authorized to do so. The Treasurer, Chairman
and Vice-Chairman shall be so authorized. ARTICLE
XIII - EXPENSE ALLOWANCES A.
The Central Committee may provide an expense allowance for the Chairman,
Vice-Chairman and such other representatives as authorized, in advance, by the
Executive Committee, including but not limited to, specific official State and
4th Congressional District committees and functions or events. B.
Detailed vouchers for expenses incurred, mileage traveled and duties
performed, shall be prepared by the individual. All expense vouchers shall be
submitted to the Central Committee for its inspection and approval prior to
being paid by the Treasurer. ARTICLE
XIV - RESERVED POWERS AND PRIVILAGES A.
The right to endorse or not to endorse candidates and the right to
endorse or recommend passage or defeat of any measure or bill shall be the
exclusive right of the Central Committee. B.
Nothing in the Article shall be construed so as to interfere with the
right of any individual acting on his own behalf to approve or disapprove any
candidate or measure or to contribute to the campaign fund of any candidate or
measure. ARTICLE
XV - PARLIMENTARY AUTHORITY The
rules contained in Roberts' Rules of
Order Newly Revised shall govern the Central Committee in all cases in
which they are applicable and in which they are not inconsistent with these
Bylaws or with special rules of procedure that may be adopted by the Central
Committee from time to time. ARTICLE
XVI - AMENDMENTS A.
These Bylaws shall be deemed automatically and immediately amended to conform to
any statute now in force or hereinafter to be enacted with which these Bylaws
shall be inconsistent. B.
At any duty convened meeting of the Central
Committee, these Bylaws
may be amended by a majority vote of the quorum present, provided that notice of
the proposed amendment(s) has been mailed with the official notice of the
meeting. Amendment to Bylaws February
19, 2008 CURRY COUNTY REPUBLICAN
CENTRAL COMMITTEE PRIMARY ELECTION POLICY Whereas
the main purpose of the CCRCC (By-Laws, Article 1, B.) is to support Republican
candidates in the General Election running against candidates of other parties,
and whereas Republicans are running against other Republicans in the primary
elections, their candidacy shall not be supported by the CCRCC. Accordingly, the
CCRCC shall follow a policy of non-endorsement in campaigns prior to state
primary elections and the Republican National Convention. Furthermore,
all Republican primary candidates who hold an elected office in the CCRCC shall
not use their incumbency, or powers of that office, to gain political advantage
over any other Republican candidate(s). To insure fairness, the CCRCC will
invite and encourage all Republican candidates to participate in all activities
and efforts to reach our main goal, as stated in our By- Laws, Article I. Any
perceived violation of this policy may be reported in writing to the CCRCC
Secretary, or any member of the Committee's Executive Board, who is not running
for office. See below for contact information. An ad hoc committee will be
appointed to investigate the report and will provide a proposed resolution of
the complaint. Final action on the complaint will be taken by the CCRCC at a
